Terms of Service

Welcome to EROS. By creating an account, subscribing to our service, or using the EROS platform in any way, you agree to these Terms of Service ("Terms"). If you do not agree, do not use EROS.

1. Definitions

"EROS" refers to the Elite Restaurant Operating System web application, including all tools, calculators, coaching features, and content available at erossystem.com.

"Service" refers to the EROS subscription platform, AI coaching, calculators, dashboards, and all related features.

"User," "You," "Your" refers to any individual or entity that creates an account or uses the Service.

"We," "Us," "Our" refers to Restaurant Wealth Coaching, Inc.

"Coach Michael" or "AI Coach" refers to the AI-powered coaching feature within EROS that provides automated business guidance.

2. Account Registration

To use EROS, you must create an account with a valid email address and password. You are responsible for maintaining the confidentiality of your login credentials. Each subscription is for one (1) restaurant location. Sharing account credentials with third parties is prohibited. You must be at least 18 years old and authorized to enter into binding agreements.

3. Subscription & Billing

Pricing: EROS is a subscription service billed monthly at the rate displayed at the time of signup.

Billing Cycle: Your subscription renews automatically on the same day each month. Stripe processes all payments.

Cancellation: You may cancel your subscription at any time through your EROS account settings or by contacting michael@erossystem.com. Cancellation takes effect at the end of your current billing period. No refunds are issued for partial months.

Price Changes: We may change subscription pricing with 30 days' written notice via email. Existing subscribers will be notified before any price increase takes effect.

Failed Payments: If a payment fails, we will attempt to charge your payment method up to 3 times over 7 days. If all attempts fail, your account may be suspended or terminated.

4. AI Coaching Disclaimer

Coach Michael (the AI coaching feature) provides general business guidance, operational suggestions, and data analysis based on the information you enter into EROS. Coach Michael is NOT a licensed financial advisor, accountant, attorney, or certified business consultant.

  • AI coaching output is informational only and does not constitute professional financial, legal, tax, or accounting advice.
  • You are solely responsible for all business decisions you make, regardless of whether those decisions were influenced by EROS coaching.
  • We do not guarantee any specific business outcomes, revenue increases, cost reductions, or profitability improvements.
  • AI-generated content should be reviewed by you before use.
  • If you need professional financial, legal, or tax advice, consult a licensed professional.

BY USING EROS, YOU ACKNOWLEDGE THAT YOU ASSUME FULL RESPONSIBILITY FOR YOUR BUSINESS DECISIONS AND WAIVE ANY CLAIMS AGAINST RESTAURANT WEALTH COACHING, INC. ARISING FROM RELIANCE ON AI COACHING OUTPUT.

5. Acceptable Use

You agree to use EROS only for its intended purpose: managing and improving your restaurant business operations. You may not:

  • Share, resell, or redistribute EROS content or coaching output to third parties for commercial purposes
  • Attempt to reverse engineer, scrape, or replicate the EROS platform or its AI coaching system
  • Use EROS to store illegal, offensive, or harmful content
  • Share your login credentials with anyone outside your organization
  • Use automated tools (bots, scrapers) to access EROS
  • Circumvent subscription gating or access features without an active subscription

6. Your Data

Ownership: You retain ownership of all data you enter into EROS, including financial data, restaurant information, employee names, and any other business data.

License: By entering data into EROS, you grant us a limited license to process, store, and use that data for the purpose of providing the Service. We will not sell your individual business data to third parties.

Data Export: You may request a copy of your data at any time by contacting michael@erossystem.com. We will provide your data within 30 days.

Data Deletion: Upon account termination, we will delete your data within 60 days of a written request, except where retention is required by law.

7. Intellectual Property

EROS, the EROS flame logo, "Elite Restaurant Operating System," Coach Michael, all calculator designs, checklist templates, ops sheet templates, coaching prompts, and all other EROS content and branding are the intellectual property of Restaurant Wealth Coaching, Inc. Trademark application pending (Serial No. 99649889, Classes 41 and 42). Your use of EROS does not transfer any intellectual property rights to you.

8. Website Add-On

If you subscribe to the EROS Website add-on, the following additional terms apply:

  • EROS hosts your restaurant website on our infrastructure for the duration of your subscription.
  • If you cancel the Website add-on or your EROS subscription, your website will be taken offline within 7 days of cancellation.
  • You own the content you provide (menu text, photos, descriptions). We own the template design and hosting infrastructure.
  • You may request an export of your website content upon cancellation.

9. One-on-One Coaching

EROS may offer optional one-on-one coaching sessions with Michael Kontras for an additional fee. These sessions are subject to separate scheduling and payment terms communicated at the time of booking. The AI coaching disclaimer (Section 4) applies equally to one-on-one coaching sessions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RESTAURANT WEALTH COACHING, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF EROS, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES.

Our total liability for any claim arising from the Service shall not exceed the amount you paid to us in the three (3) months preceding the claim.

11. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. EROS may experience downtime for maintenance, updates, or circumstances beyond our control. We are not liable for any losses resulting from service interruptions.

12. Termination

We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or use EROS in a manner that harms other users or our infrastructure. We will provide notice before termination unless immediate action is required for security reasons.

You may terminate your account at any time by canceling your subscription and contacting michael@erossystem.com.

13. Governing Law & Disputes

These Terms are governed by the laws of the State of New York, United States. Any disputes arising from these Terms or your use of EROS shall be resolved in the courts of Erie County, New York. You agree to attempt informal resolution by contacting michael@erossystem.com before initiating any legal action.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email to the address on your account at least 30 days before they take effect. Continued use of EROS after changes take effect constitutes acceptance of the updated Terms.
